How Deal Room works

One platform, two lanes, seven wrappers.

The platform auto-routes issuers into the right regulatory lane based on SMEDAN caliber. Investors pick deals across both lanes, gated by their KYC tier. Every executed document files to the Data Vault.

Lane A · Growth Capital

Retail-open MSME raises

SMEs incorporated 2+ years. Annual caps from ₦50m (Micro) to ₦100m (Medium). Wrappers: CSAFE, Convertible Note, Equity Subscription. Tier 1 investors welcome (₦100k–₦5m per deal).

Lane B · Private placement

Qualified-only raises

Listed corporates and ₦5bn+ enterprises. No public solicitation. Wrappers: PPM, Commercial Paper, Bonds, Revenue Share. Open to KYB-verified corporate investors; optional Institutional uplift for audited-financial-backed entities.

Corporate KYB

Corporate-only · TIN + CAC

Every account is a Nigerian-registered company. KYB needs only your FIRS TIN, CAC RC number, and CAC certificate. Verified companies unlock full deal data, structured Q&A, the Data Vault, and the ability to submit Intent to Invest.

Data Vault

Vault-PIN-gated custody

AES-256 at rest, split-key, audit-logged. Signed agreements, KYB attestations, NEIIA Audit Overlay reports, and compliance approvals file automatically. Your 6-digit Vault PIN protects documents only — Deal Room never authorizes payments.

Live on the platform

Anonymized headlines. Verify to see the issuer.

Per SEC rules, deal data is hidden until you verify your account. Public browsers see lane, sector, size, and subscription momentum only — no company names, no tickers.

Every deal page. Same shape.

Whatever lane a deal sits in, the page is built the same way: status pipeline at the top, allocation progress, what-this-raise-funds brief, instrument terms, subscription flow. Investors don't relearn the surface every time.

The lifecycle

Six stages. One record.

Every deal carries through the same six stages — from the first memo to administering the live vehicle. Click between stages, never lose context, and the artifacts you upload live on the stage they belong to.

01

Source

Draft the deal memo. Who's the sponsor, what's the ask, why now. Attach the deal letter (PDF) to file it on the Source stage.

02

Structure

Pick the vehicle wrapper — SPV, Sub-Fund, Rolling, Venture, Co-Invest, Roll-Up. Confirm fees, carry, min check, target raise.

03

Outreach

Match the deal to subscribed investors. Track soft → hard → signed commitments with status badges and live progress to target.

04

Diligence

Open the data room to committed investors. Doc access, Q&A, watermarking. Diligence pack scoped to commit status.

05

Close

Generate the subscription package. KYB checks, e-sign, dual-signatory countersign, allocations locked. Settlement is arranged off-platform between the parties. The activate button moves you to administer.

06

Administer

Tokens minted. Subscription agreements live in investor Vaults. Issuer files Weekly pulse, Monthly fiscal, Quarterly MD&A on the same deal record.

01 — Structure a fund deal

From memo to vehicle in three steps.

The + New deal wizard captures the memo, picks the vehicle, sets the terms. Defaults from the chosen wrapper pre-fill fees, carry, min check, and close cadence — so you tune for this deal, not redefine the world.

  • Memo · name, sponsor, sector, ask, brief, optional deal letter (PDF)
  • Vehicle · pick one of six wrappers, defaults populate next step
  • Terms · fees, carry, min check, target raise, close date — overridable
  • + Invest available on every deal row in the marketplace

02 — Vehicles, not products

Six wrappers, one wizard.

SPV, Sub-Fund, Rolling, Venture, Co-Invest, Roll-Up — these used to be six separate product pages. They're now one dropdown inside the wizard. Pick a wrapper; its template defaults populate next step. Behavior — closes, positions, calls, vintages — is type-aware.

  • Type-aware mechanics — single vs multi-close, fixed vs rolling, vintages where it matters
  • Editable template defaults — fees and carry are a starting point, not a cage
  • Position schema is unified — same columns, type-aware reads
  • Switch vehicles mid-draft; terms re-template automatically
03 — Outreach

Soft, hard, signed.

Every commitment lands on the Outreach tab of the deal as a row — name, amount, date, status. Move investors through soft → hard → signed with a single dropdown. The snapshot card shows live committed-vs-target. The sidebar Investors page aggregates everyone across every deal.

  • Investor roster per deal — name, commitment, date, status badge
  • Status workflow: soft → hard → signed, with activity logged on the deal
  • Live progress bar in the snapshot — "committed $X of $Y target"
  • Sidebar Investors page rolls up every commitment across every deal

⌁ AI performance summary

Summary. You hold 5 positions totaling $1.8M in commitments — 42% called, $160K distributed, NAV $590K. Net TVPI 1.42× (ahead of typical early-cycle pacing) with DPI 0.21× — meaningful realized return already.

Exposure. Largest concentration is Renewable Energy at 48% of commitments. Book is diversified across 3 sectors.

Recommendation. Hold the line. Pacing is healthy. Consider re-upping into the same GP's next vintage rather than spreading thin.

04 — Investor lens

Investment Management, folded in.

The Portfolio page is Deal Room with the camera flipped. Every subscription you sign shows up bucketed by lifecycle — Pipeline (pre-close), Active (CSAFEs in force), Converted (post-trigger), or Lost. Hit ⌁ AI performance summary to get a written analyst note in seconds.

  • Live KPIs — TVPI, DPI, MOIC, per-position multiples
  • AI summary reads exposure, pacing, dispersion, recommendation
  • Naira / USD toggle in the workspace header — flips every figure
  • Investor lens reuses the same deal record GPs see — one product, two cameras

Why teams switched to Deal Room.

A few of the publishers, investors and operators using Deal Room every day.

"We launched a co-invest SPV in five business days. Same week, our LPs were already inside Deal Room signing subs. The six-stage view killed our spreadsheet pipeline overnight."
TA Tunde Adebayo Managing Partner · Verdant Capital
"Pick the vehicle and the wizard pre-fills sane terms. We stopped redefining fees and carry on every SPV. The roll-up template alone saved a week of legal redlines."
FE Funmi Eze Founder · Solar Sahara
"The AI summary on the Portfolio page is the first investor report I've ever read where the recommendation actually changed my next move. Dispersion call on our weakest position was sharp."
CO Chinedu Okonkwo Director of Strategy · Lagos Industrial Holdings
"Soft / hard / signed status on every commitment. Snapshot bar shows committed-vs-target live. I stopped sending weekly raise emails to my partners — they just open the deal page."
AM Aisha Mohammed IR Lead · Pinnacle Renewables
From the field

"We replaced two SaaS subscriptions with a single Deal Room. Our IR cycle went from three weeks to four days."

AO Adaeze Okafor Head of IR · Atlas Energy Partners

FAQ

Your questions, answered.

What happened to Fund Administration, SPVs, Sub-Funds, etc.?
They're now stages and wrapper types inside Deal Room. The 6 product pages you might remember (Fund Administration, Investor Management, SPVs, Sub-Funds, Venture, Rolling, Scout, Roll-Up) collapsed into one product with a vehicle dropdown in Step 2 of the wizard. One workspace beats six landing pages that can't survive on their own.
Walk me through the lifecycle.
Source — draft the memo + attach the deal letter. Structure — pick one of seven vehicle wrappers, terms pre-fill. Outreach — invite subscribed investors, track soft → hard → signed. Diligence — open the data room to committed investors with doc gating. Close — generate subscription package, KYC/AML, e-sign, lock allocations. Administer — Weekly pulse, Monthly fiscal, Quarterly MD&A reports anchored to the deal. Every artifact you upload lives on the stage it belongs to.
How are the six vehicles different?
Each wrapper carries template defaults (fees, carry, min check, doc set) AND type-aware mechanics (single vs multi-close, fixed term vs rolling vintages, fund-fee vs no-fee piggyback). The position schema is unified, but the *interpretation* of `commitment`, `called`, `unfunded` shifts by type. Pick a wrapper in Step 2; defaults populate; override what you need.
Where do investors live? What about Investment Management?
Investment Management is folded into Deal Room as the *investor lens*. Open Portfolio in the sidebar to see every position you've committed to across every deal — KPIs (TVPI, DPI, MOIC), per-position multiples, an AI performance summary. The same deal record GPs see, with the camera flipped.
What does the AI summary actually do?
Reads your live position data and writes an analyst-style note: total committed / called / distributed, TVPI verdict against vintage benchmarks, sector exposure + concentration risk, dispersion between best and weakest positions, and a recommendation (hold, stay disciplined, or pause). It's templated logic over your real numbers — fast, deterministic, not investment advice.
Naira or Dollar?
Both. There's a segmented currency toggle in the workspace header. Storage is USD-canonical; display converts on the fly. Every dollar figure across the deal page, snapshot, portfolio KPIs, AI summary, and CSV exports flips together. FX rate is configurable in one place; default is the recent Naira-Dollar parity.
